Foreign US Listings

With its sizable and efficient equity market, The US has always been attractive for foreign issuers who want to raise equity capital or seek increased liquidity for their shareholders. As a greater number of foreign companies successfully raise capital in the United States, the process becomes easier for other foreign companies to gain the attention of the US investor. Going public can be time-consuming, expensive, and take a substantial amount of key management focus away from the day-to-day operations of the company. Once a company goes public, there is a fiduciary responsibility to all shareholders, which will require more formality in managing the business and complying with all of the requirements imposed by federal securities laws. The process begins once an assessment of the company is made. Haynes Capital Corp. is retained and a full assessment is produced. The assessment involves an attorney and an accountant who review:

• Authorization, amount, and class of stock (i.e., recapitalizing the company if appropriate)
• Articles of incorporation and bylaws
• All contracts and leases
• Ownership status of major assets
• Corporative organization
• Condition of accounts and accounting procedures

Fees generally depend on the size of the company, the condition of the accounts and contracts, the time spent drafting the registration statement and participation in the going public process. A quote is generated from the assessment report.
